dc.description.abstract | El gobierno corporativo es un mecanismo clave para fomentar la sostenibilidad de las pymes familiares, al promover la toma de decisiones eficaz, el control adecuado, la participación equilibrada y la gestión de conflictos. Este estudio propone un modelo de gobierno corporativo teórico adaptado a las pymes familiares colombianas, desarrollado a través de una investigación cualitativa en tres etapas: revisión teórica, diseño del modelo y validación con expertos. El modelo propuesto se estructura en cuatro componentes clave: elementos transversales, gobierno de la propiedad, gobierno de la empresa y gobierno de la familia. Los elementos transversales incluyen aspectos fundamentales como el propósito y los valores familiares, que guían la toma de decisiones, y la identificación de los grupos de interés más allá de los accionistas, como empleados, proveedores y clientes. Además, se promueve la formación y profesionalización de la empresa, mediante la implementación de políticas claras y procedimientos formales, así como el protocolo familiar, que regula la relación entre la familia, la propiedad y la empresa, abordando temas como sucesión, distribución de beneficios y resolución de conflictos. | spa |
dc.description.abstract | Corporate governance is a key mechanism for fostering the sustainability of family SMEs by promoting effective decision-making, adequate control, balanced participation and conflict management. This study proposes a theoretical corporate governance model adapted to Colombian family SMEs, developed through qualitative research in three stages: theoretical review, model design and validation with experts.The proposed model is structured into four key components: transversal elements, property governance, business governance, and family governance. The transversal elements include fundamental aspects such as the family purpose and values that guide decision-making, and the identification of stakeholders beyond shareholders, such as employees, suppliers, and customers. Additionally, the model promotes the professionalization and formation of the business by implementing clear policies and formal procedures, along with the family protocol that regulates the relationship between the family, property, and the business, addressing issues such as succession, profit distribution, and conflict resolution. | eng |
